INTERLINKED LOYALTY NETWORK
TERMS OF SERVICE AGREEMENT FOR PARTNERS & BUSINESSES
Effective Date: 1st July 2025

1. Acceptance of Terms

By signing up to participate in the Interlinked Loyalty Network (“ILN”, “we”, “our”, or “us”) via https://www.interlinkedloyaltynetwork.com or through any related means, you (“Partner”, “Business”, or “you”) agree to be bound by the terms and conditions of this Terms of Service Agreement (“Agreement”). If you do not agree to all of the terms of this Agreement, you may not participate in the ILN.

2. Eligibility

You must be a registered business or legal entity in good standing in your jurisdiction to participate in the ILN. You represent and warrant that you have the authority to bind your business to this Agreement.

3. Description of the Service

ILN offers a collaborative loyalty platform where businesses can offer, accept, and redeem loyalty points across a shared network of participating partners, increasing cross-promotion and customer retention. You will have access to tools, reporting, customer insights, and marketing opportunities through the ILN platform.

4. Partner Obligations

As a participating business in the ILN, you agree to:

  • Comply with all applicable laws and regulations.

  • Accurately represent your business, services, and rewards on the ILN platform.

  • Accept and process loyalty points from customers according to ILN’s standard conversion and redemption guidelines.

  • Not misuse the platform for fraudulent, deceptive, or unethical practices.

  • Maintain the confidentiality of any customer or partner data shared via ILN.

5. Loyalty Points Policy

  • Points earned or redeemed via ILN are governed by ILN’s universal conversion and reward framework.

  • Points do not have monetary value and may not be exchanged for cash unless otherwise specified.

  • ILN reserves the right to modify the points system, including earning and redemption values, with reasonable notice.

6. Fees and Payment

  • Participation in ILN may involve setup fees, subscription fees, or transaction-based fees, as specified during the onboarding process or in a separate pricing agreement.

  • ILN reserves the right to change its fee structure with 30 days’ prior written notice.

  • Payments due to ILN are payable within the terms agreed (typically Net 30) and are non-refundable.

7. Marketing & Branding

By joining ILN, you grant us a non-exclusive, royalty-free license to use your business name, logo, and branding for marketing, promotional, and platform integration purposes. You may also use ILN branding per our guidelines for promotional activities.

8. Data & Privacy

  • All data shared between you and ILN, including customer behavior and transaction data, will be handled according to our Privacy Policy.

  • You agree to use any data provided through ILN solely for purposes aligned with customer loyalty and in compliance with all applicable data protection regulations (e.g., GDPR, CCPA).

9. Term & Termination

  • This Agreement remains in effect until terminated by either party with 30 days’ written notice.

  • ILN may terminate or suspend your access immediately if you breach this Agreement, engage in fraud, or damage the network’s integrity.

  • Upon termination, you will no longer have access to the ILN platform, and all point-related obligations must be settled within 30 days.

10. Intellectual Property

All rights, title, and interest in and to the ILN platform, including software, trademarks, and content (excluding your own business content), remain with ILN or its licensors.

11. Limitation of Liability

To the maximum extent permitted by law, ILN is not liable for indirect, incidental, special, or consequential damages, or loss of profits, data, or goodwill arising out of or in connection with this Agreement or your participation in the ILN.

12. Indemnification

You agree to indemnify, defend, and hold harmless ILN and its affiliates, officers, directors, and employees from any claims, damages, liabilities, or expenses arising out of your use of the ILN platform or your breach of this Agreement.

13. Amendments

ILN reserves the right to update or modify this Agreement at any time. You will be notified of material changes, and continued use of the platform after such notice constitutes your acceptance of the revised terms.

14. Governing Law & Jurisdiction

This Agreement is governed by the laws of [Insert Jurisdiction]. Any disputes arising from or related to this Agreement shall be subject to the exclusive jurisdiction of the courts in [Insert Location].

15. Entire Agreement

This Agreement, along with any referenced documents, constitutes the entire agreement between you and ILN with respect to the subject matter and supersedes all prior agreements or understandings.

By registering as a business or partner with the Interlinked Loyalty Network, you acknowledge that you have read, understood, and agreed to these Terms of Service.
